QUIPEE — TERMS OF SERVICE

1. AGREEMENT TO THESE TERMS

These Terms of Service ("Terms") are a binding agreement between you and Filip Bukovina, an individual established in the European Union (Czech Republic), who operates the Quipee social application and related services ("Quipee", "we", "us", "our", or the "Service").

By creating an account or using Quipee, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

2. ELIGIBILITY

To use Quipee, you must:

• be at least 16 years old;

• have the legal capacity to enter into these Terms (or have the consent of a parent or legal guardian where required by your local law);

• not be barred from using the Service under any applicable law; and

• not be a user we have previously banned.

If you use Quipee on behalf of an organization, you represent that you are authorized to bind that organization to these Terms.

3. YOUR ACCOUNT

• You must provide accurate information when you register and keep it up to date.

• You are responsible for your account and for keeping your credentials secure. You are responsible for activity that happens under your account.

• Quipee supports switching between a limited number of accounts on one device (currently up to three). You must have the right to use each account you add.

• Notify us promptly at [email protected] if you suspect unauthorized use of your account.

4. THE SERVICE

Quipee is a social platform that lets you, among other things, publish posts (text, images, video, polls, and rich-formatted text), comment and reply, share short ephemeral Quips (media with captions, overlays, drawings, optional place labels, and music clips), send direct messages (with optional end-to-end encryption), go live, follow other users, display a music "now playing" presence, generate AI summaries, and subscribe to Quip+.

We may add, change, or remove features at any time. Some features require a subscription, identity verification, or specific eligibility.

5. SUBSCRIPTIONS, PAYMENTS, AND QUIP+

5.1 Billing through Apple

Quip+ and any other paid features are sold as auto-renewing subscriptions through Apple In-App Purchase, and we use RevenueCat to manage entitlements. Payment is charged to your Apple ID account. Apple, not us, processes your payment and manages your billing.

5.2 Auto-renewal and cancellation

Subscriptions automatically renew for the same period unless you cancel at least 24 hours before the end of the current period. You can manage or cancel your subscription in your Apple ID Settings > Subscriptions. Deleting the app does not cancel a subscription.

5.3 Prices and changes

Prices are shown in the app before purchase and may change. Where required by law, we will give you advance notice of price changes and, where applicable, the opportunity to cancel.

5.4 Refunds

Refunds for App Store purchases are handled by Apple under Apple's policies. We generally cannot grant refunds directly. Nothing here limits any mandatory refund or withdrawal rights you have under EU/local consumer law.

5.5 EU right of withdrawal for digital content

If you are an EU consumer, you normally have a 14-day right of withdrawal for digital purchases. By starting a subscription and accessing Quip+ features immediately, you request that performance begin during the withdrawal period and acknowledge that you lose the right of withdrawal once the digital content is supplied, to the extent permitted by law.

5.6 Storage limits

Free accounts have media storage limits, and additional capacity or features may be available with Quip+. We may enforce reasonable limits and notify you as you approach them.

6. YOUR CONTENT AND THE LICENSE YOU GRANT US

6.1 You own your content

You keep all ownership rights in the content you create and share on Quipee ("Your Content").

6.2 License to operate the Service

To run the Service, you grant us a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, reproduce, adapt (for example resize or transcode), publish, publicly display, and distribute Your Content solely for the purpose of operating, providing, and promoting the Service and according to the audience and visibility settings you choose. This license ends when you delete Your Content or your account, except for (a) content others have re-shared or saved as permitted, and (b) copies retained in backups for a limited period or as required by law.

6.3 Your responsibilities and warranties

You represent that you own or have the necessary rights to Your Content, that it does not infringe anyone's rights, and that it complies with these Terms and applicable law. Music: music clips and "now playing" presence are provided through Apple Music and Spotify subject to those services' terms; you must have the right to use any audio you add.

6.4 Feedback

If you send us suggestions or feedback, you grant us a perpetual, royalty-free license to use it without obligation to you.

7. ACCEPTABLE USE

You agree not to use Quipee to create, upload, share, or do any of the following:

• Content that is illegal, or that sexually exploits or endangers minors (we have zero tolerance for child sexual abuse material and report it to authorities);

• Harassment, bullying, threats, hate speech, or incitement to violence;

• Non-consensual intimate imagery, or sexual content that violates our policies or applicable law;

• Impersonation, fraud, scams, phishing, or deceptive content;

• Spam, artificial engagement, or bulk/automated activity;

• Infringement of intellectual property, privacy, or publicity rights;

• Malware, or attempts to disrupt, overload, or compromise the Service or its security (including App Check / anti-abuse) protections;

• Scraping, crawling, or harvesting data, or reverse engineering, decompiling, or circumventing technical limits, except where such restriction is prohibited by law;

• Collecting others' personal data without permission; or

• Any use that violates applicable law or these Terms.

You are solely responsible for Your Content and your conduct on Quipee.

8. MODERATION, REPORTING, AND ENFORCEMENT

• Reporting. You can report posts and users in the app (for reasons such as spam, harassment, hate speech, violence, nudity, misinformation, scams, or impersonation). Reports are treated as confidential.

• Blocking. You can block other users.

• Our action. We may review, remove, restrict, or label content, and may warn, suspend, restrict, or ban accounts that violate these Terms or the law. We may act proactively or in response to reports, and we may use automated tools and human review.

• Notice and appeals. Where we take action against your account or content, we will, where appropriate and where required by applicable law (including the EU Digital Services Act), tell you the reason and give you a way to contact us to seek review at [email protected].

We are not obligated to monitor content but may do so. Removing content does not necessarily delete every copy (for example backups) immediately.

9. IDENTITY VERIFICATION

To support trust, safety, and verification badges, we may offer or require identity verification, performed by our provider Didit. Verification is handled directly by Didit and is subject to Didit's terms and privacy policy. We receive the verification outcome (not your raw documents). If verification is required and not completed, or fails, we may restrict or suspend access to certain features or to the Service. See the Privacy Policy for details.

10. LIVE STREAMING

If you are eligible to go live, you must follow these Terms and our acceptable-use rules in real time. Live content and chat are subject to moderation, and we may end a stream that violates these Terms or the law. Live streaming uses third-party infrastructure (Mux) and requires camera and microphone access you control.

11. AI FEATURES

Quipee offers AI-assisted features such as on-device summaries and optional spoken replies. AI output may be inaccurate, incomplete, or out of date. It is provided "as is" for convenience only and is not professional advice. You are responsible for how you use AI output. Optional voice features may use a third-party provider (ElevenLabs) and/or your own API key.

12. INTELLECTUAL PROPERTY

The Quipee app, its software, design, logos, and the "Quipee" name are owned by us or our licensors and are protected by intellectual property laws. We grant you a limited, personal, non-transferable, non-exclusive, revocable license to use the app for its intended purpose, subject to these Terms. You may not copy, modify, distribute, sell, or create derivative works of the Service except as allowed by law.

13. THIRD-PARTY SERVICES

Quipee relies on and integrates third-party services, including Apple, Google Firebase, Mux, Didit, RevenueCat, Intercom, ElevenLabs, Spotify, and Hugging Face. Your use of those integrations may be subject to those parties' own terms and privacy policies. We are not responsible for third-party services, and links or integrations do not imply our endorsement.

14. DISCLAIMERS

To the maximum extent permitted by law, the Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including fitness for a particular purpose, merchantability, and non-infringement. We do not warrant that the Service will be uninterrupted, secure, or error-free, or that content (including AI output) will be accurate. Nothing in this section limits warranties or rights that cannot be excluded under the mandatory law that applies to you, including EU consumer protection law.

15. LIMITATION OF LIABILITY

To the maximum extent permitted by law:

• We are not liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, data, goodwill, or content.

• Our total aggregate liability arising out of or relating to the Service is limited to the greater of (a) the amount you paid us for the Service in the 12 months before the event giving rise to the claim, or (b) EUR 100.

This section does not exclude or limit our liability for death or personal injury caused by negligence, fraud, or any liability that cannot be excluded or limited under the mandatory law that applies to you (including, for EU consumers, liability for gross negligence and intent). If you are a consumer, you keep all mandatory statutory rights.

16. INDEMNIFICATION

To the extent permitted by law, you agree to indemnify and hold us harmless from claims, damages, and reasonable expenses arising from Your Content, your use of the Service, or your breach of these Terms or applicable law. This does not apply to the extent a claim results from our own breach or wrongdoing, and does not apply to consumers where prohibited by law.

17. SUSPENSION AND TERMINATION

• By you. You may stop using Quipee at any time and delete your account in the app's settings.

• By us. We may suspend or terminate your access if you breach these Terms or the law, if required for security or legal reasons, or if we discontinue the Service. Where appropriate and lawful, we will give you notice.

• Effect. On termination, your license to use the Service ends. Sections that by their nature should survive (for example content license for residual backups, IP, disclaimers, liability limits, and governing law) survive termination.

18. CHANGES TO THESE TERMS OR THE SERVICE

We may update these Terms from time to time. If we make material changes, we will notify you in the app or by other reasonable means and update the "Last updated" date. Changes take effect when posted unless we say otherwise. Your continued use after changes take effect means you accept the updated Terms. We may also modify or discontinue features as described in Section 4.

19. GOVERNING LAW AND DISPUTES

These Terms are governed by the laws of the Czech Republic, without regard to conflict-of-laws rules. Courts of the Czech Republic have jurisdiction, except that if you are a consumer, you also benefit from any mandatory protections of, and may bring claims in, the country where you live.

If you are an EU consumer, you may use the European Commission's Online Dispute Resolution platform at ec.europa.eu/consumers/odr. We are happy to try to resolve disputes informally first — please contact [email protected].

20. APPLE APP STORE — ADDITIONAL TERMS

These terms apply because you obtained Quipee through the Apple App Store. In the event of a conflict between this Section and the rest of the Terms, this Section governs with respect to the Apple App Store only.

• Parties. These Terms are between you and us, not Apple. Apple is not responsible for the app or its content.

• License scope. Your license to use the app is a non-transferable license to use it on any Apple-branded device you own or control, as permitted by the Apple Media Services Terms and the App Store Usage Rules.

• Maintenance and support. We, not Apple, are responsible for any maintenance and support, to the extent required. Apple has no obligation to furnish support.

• Warranty. To the extent permitted by law, Apple has no warranty obligation for the app. If the app fails to conform to any applicable warranty, you may notify Apple, and Apple may refund the purchase price (if any); Apple has no other warranty obligation, and any other claims are our responsibility.

• Product claims. We, not Apple, are responsible for addressing claims relating to the app, including product-liability, legal/regulatory compliance, and consumer-protection claims, to the extent not attributable to our failure.

• Intellectual property claims. We, not Apple, are responsible for investigating and defending third-party claims that the app infringes intellectual property rights.

• Legal compliance. You represent that you are not located in a country subject to a U.S. Government embargo or designated as terrorist-supporting, and that you are not on any U.S. Government restricted-parties list.

• Third-party beneficiary. Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.

21. GENERAL

• Entire agreement. These Terms and the Privacy Policy are the entire agreement between you and us about the Service.

• Severability. If any provision is found unenforceable, the rest remains in effect.

• No waiver. Our failure to enforce a provision is not a waiver of it.

• Assignment. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.

• Force majeure. We are not liable for delays or failures caused by events beyond our reasonable control.
